You will have to remove a clamp on the air filter box to remove the oem air inlet, and to get to that clamp you have to remove the plastic splash guard panel underneath the air filter box; so, you will have to get the car raised up to be able to do this.
Pull the center grill upwards and then out towards you to remove it. Then remove the bolt that fastens the original air inlet to a bracket. Then remove the one bolt that fastens the passenger side horn to the car, remove the horn and just let it hang outside the grill opening by its wire. (Removing the horn gives you much more room to work with in removing/installing the air inlet. I removed the old inlet from the bottom and installed the new one from the top, so either method will work.
As far as swapping out the old air filter, I would take a look at it to see how it looks and then decide whether or not to replace it.
