Lockup is in availabe in all gears except for 1st & 2nd, and what it does is lock the torque converter (which acts as the "clutch" on an automatic). This means that the engine is directly coupled to the transmission without the natural "slip" of the converter (and nets better MPG because of it).
Overdrive is when a transmission has a gear (or gears) that are "taller" than 1:1, which means that the input shaft is turning slower than the output shaft. If the transmission, like the 9-5's, has a top gear of 1:1 then the input shaft is rotating at the same rate as the output.
Overdrive was something they came up with in the dark ages to help cars get better MPG without having to redesign the rest of the transmission and final drive system. It used to be a real plus (20 years ago) to have an overdrive transmission. Today it is a moot point, because, as the 9-5 proves, you dont need it to get good performance and MPG. They engineer the gearing around the torque characteristics of the engine to optimize efficiency.
