Still no crank

Last week I posted that my 1999 9-5 2.3 auto tran is showing “key not accepted” for both of my keys. None of the tricks would allow the engine to crank over. A couple observations are that unlike some of you, both of my banana remotes (w/new CR2032 batteries) do not even lock or unlock the doors or trunk anymore. Also there is a click sound every second or so coming from under the passenger seat. Does anyone know if this is proof that I need to tow it and have the TWICE replaced?
I just hate to spend the $ if I can do it. ToddH
