Potential 2001 SE Wagon purchase revisited

Greetings again!
The basic facts:
2001 9-5 V6SE Wagon, silver w/ graphite leather, heated seats, 37,500 miles
Saab Certified (w/ new tires, battery, replaced cupholders)
Dealer Asking Price: $26,700 - $27,200
Since I first asked for info/opinions I found out that it is a lease return (and bought through a lease return sale) one owner and went into service early in the '01 model year (late 2000) so it is about 1 1/2 years old. Also, the dealer asking price listed above is their "online" number; apparently the number on the sticker is higher...
Summary of Online Price guides (assuming excellent/outstanding condition):
Edmunds Dealer Retail: $31,746 Certified: $32,746
KBB Dealer Retail: $29,985
Black Book (through cars.com) Dealer Retail: $30,425
NADA Dealer Retail: $31,600
Average Dealer: $30,939
Just to get an idea, I did the same thing for a 2000, equipped as closely as I could get it, with the same miles. The average dealer price was $28,235.
Given all of this info (numbers, numbers, everywhere), the fact that the dealer has now had the car a month (and regularly checks to see if my family will be able to make it in to look at the car), and that all the online services indicate the dealer is asking less than their estimates:
Is $27K a good/great deal? If not, what reasonable counteroffer would you propose? Right now we are not in desperate need to replace the wife's car (so she is not really into looking) but she would probably be perfectly happy getting another Accord (and giving up the utility/room the 9-5 would offer). Obviously, I am trying to play the "really good deal" card with her and want to maximize that aspect.
