Drop exhaust for heat shield replacement??

I am almost half way through replacing my heat shield on my '89 900S. I have the interior torn apart, have removed the two torx from behind the rear ashtray and am in the process of locating the front screw under the fiberglass insulation.

My main question is: must the exhaust be dropped in order to finagle the new heat shield on there? If I do have to remove some of it, can I just take from the cat back off or do I need to drop the cat (and perhaps manifold) as well? I'm hoping not.

Also, the two torx that screw up into the car from underneath are so rusty that they immediately stripped as I tried to remove them. What's the story with them -- absolutely needed? Can I just screw two other screws in that general area right into the car? I assume they're just there to keep the shield from rattling and sagging ...
