Are you doing the install, or is someone else? I would never pay a shop to install a used transmission - that's a lot of labor on something that may very well break again soon. If you're on the hook for $600+ (probably more on 4WD) in labor, put the $1500 into a rebuild and do it right once.

A "noisy rear end" could be anything from tires to wheel bearings to differential, unless he really means the rear end is noisy, in which case it may need an oil change back there, a new R&P, or something more extensive. Parts for the back of a Jeep are cheap and plentiful, that would not be much of a roadblock.

$1500 for a '98 4x4 that needs even $2500 worth of work does not seem like a bad deal at all. You'll end up with a $4000 truck that will probably last another 14 years before it needs anything, and one you could probably turn around and sell for every penny you have into it, assuming the rest of the truck is nice.
