Ed,
That's an easy one, but there are 2 answers.
For best emissions control, closer to the engine is better - cat heats up faster and thus starts doing it's thing sooner. Of course it can get *too* close and overheat, so I'd try to keep it approximately the same distance as the OEM.
For maximum performance, best location is in a box in the garage or basement! Or in the trash, or on ebay, or... well you get the idea ;^)
Option #2 can get a little tricky at inspection time though, depending on where you live.
