Blown Engine at 65K

okay, here is my SAAB story, short version. My wife has a 2001 9-5 wagon with about 65K on it. We were on the highway at 70 mph or so, warning light came on, oil light came on, black smoke started as I pulled over, car died. I pushed, and watched the dripping oil hit the ground.
Got car towed to Dealer. We have a Wynn's warranty. The dealer says the engine is blown, needs replacing. Wynn's says I need to pay tear down cost. Dealer quoted $3600 for teardown only. I balked, and got them to reduce the cost to $1200, just for the teardown to find out if the warranty will cover any part of it. Still way too much for me.
All the dealer can tell me is cylinder one has zero compression, can't tell the cause till I fork over $1200. To top it off, we owe $14,000 on the car.
What should it really take to find source of problem?
Should I put any money into this?
How much is it worth dead?
