I'd opt for the one with the warranty. I purchased a '00 (41k mi) 2.3LPT sedan with the premium pkg a few months ago for $17k. I drove it for a few weeks and made a list of things for the dealer to check/fix. Most of the items where relatively minor. However, the manual shift seemed a little difficult to get into 5th. Turns out there was a service bulletin for the manual shift and they had to drop the tranny and install a fix kit.
Everything was covered under the warranty! Also, since they had the car for 2 days, they gave me a spanking new 9-3 to drive (still like the 9-5 better, but that's a story for another day). I'm sure the costs of fixing the items still under warranty would have easily cost me the money I could have saved buying a car off warranty.
