I went with the 9-5 Aero in 2001 over a 530i for a few reasons:
1) overall more powerful engine -- I have a hard time justifying the cost of the 540i (and the upcoming 545i);
2) more back seat room -- the 5 series wasn't that much bigger in this area than the 3 series that I was replacing;
3) much better cupholders on the 9-5 (don't laugh).
That said, I'm looking with interest at the new 5 series. I've been very happy with the 9-5, and will probably purchase it next year when it comes off lease. With the way that all manufacturers are rushing out product these days, I won't buy the 5 series in the first model year . . . and I will wait until they upgrade the 6-cylinder engines. I've compared specs, and my Aero and the new 5 are within +/- 100 pounds, and have the same horsepower (I have the 230 hp), but the torque on the Aero is close to 260, whereas I believe the 6-cyl on the new 5 is still around 215 or so. The new engines in 2005-2006 time frame hopefully will correct that. The other thing is I'd like to see how the new 5 interfaces with cell phones. I'm hoping for bluetooth. That said, I've really grown to appreciate OnStar on the Saab (and seem to be the only one on this board who likes it!).
In terms of quality between the 3 I used to have (328i, 2000MY) and the 9-5, both cars were/are trouble free. I would probably give BMW a slight edge in materials used. My one big "design quality" criticism of the 9-5 is the noise of the powerlocks -- just very cheap in my view (even my wife's 9-3's locks sound better).
Backseat room on the new five is still less than the 9-5 -- 36.0 inches of leg room versus 36.6. The 9-5 is really an amazing car space-wise -- it beats anything else in the midclass category when looking at both trunk and back seat room.
I also really like the styling of the new MB E-class, but there are a few things that are deal breakers for me:
1) Back seat room is actually comparable to the old 5 series, and thus very tight (odd that MB would make this mistake);
2) The steering wheel audio controls *cannot* go through radio station presets, but only seek to the next station. This was an unbelievable oversight, and there's no ETA of a fix (see the http://www.mbworld.org boards);
3) No stick shift offered.
