Is it just rusty or has it rusted through?
If it's rusted through, replace it, you'll ultimately regret it if you don't (melted wiring insulation has some unpleasant effects). With a little bit of ingenuity you can reach the inside torx screws without taking too much of the interior apart.
Think of it this way - the heat shield is replacable - it was engineered to be thin enough to shield the floorpan from the cat heat without absorbing too much heat and conducting it to the car interior through the mountings. Replacing the parking brake cables and heater valve is just as much of a pain in the butt and they're wear items, too. The good thing is that you'll probably only have to replace the heat shield once while you own the car.
