I had to do this a few years back when the Y pipe cracked. I dremeled the 4 nuts to reduce the chance of snapping a stud on the exhaust manifold, use the larger fiberglass reinforced cutting wheels to make a slot through most of the side of the nut, up and down, taking care to not cutting into the threads of the stud. Then use a screwdriver in the slot to force the nut open. I believe that the cat is held on with four bolts that can be cut off and replaced. Get the factory nuts and bolts to replace the manifold.
If your experience is not that extensive, or your access to power tools is limited, I would recommend doing this: buy the down pipe and a replacement catalytic converter and have a muffler shop install both for you. Replacement cats are about $75 I think. The reason is that the flange on the cat rusts away and makes the reinstallation of the pipe difficult. By buying the parts and just paying for the install, you get a professional job with a lower cost and you don't have the hassle of working under the car. Its tough to get everything tight without the right tools and a lift, especially for a first time try. Its doable, but not easy.
