3" to 2.25" cat-to-intermediate pipe adapter...

If I go with a 3" DP and performance cat, and keep the rest of the stock exhaust intact, I assume I need an adapter for the output end of the cat to reduce the diameter size from 3" to 2.25" (stock-size).
Will this require any modifications to the pipe that the adapter will be joining to? Will it need to be shortened to take-up the extra length of the adapter?
Also, I assume doing it this way, I leave my intermediate muffler where it is. I have heard that some people remove it and connect a straight pipe from the cat to the rear muffler. I don't want to do this (for fear of failing emissions here in CT, USA). Do I have to remove this muffler if all I am upgrading is the DP and cat, or can I leave it along with the rest of the stock exhaust?
BTW: any opinions on decent 3" performance cats? Prices and suppliers would be greatly appreciated!!!!
