I drove the used '99 9-3 SE HO Con. and I have some ?s

I went to look at the 1999 9-3 SE HO Convertible 5 speed with 134,000 miles and it drove well and looked good on the outside. However the car clearly shows its wear on the interior. The front two seats are heavily worn, including some tears, and there was cigarette ash all over (the car just got in so the haven't had time to clean it). Along with a few other things I am going to make sure a good mechanic takes a look at it and I am going to see if I can get him to put in new seats. I know it sounds like a lot for this price, but they seemed pretty anxious to get rid of it, they even hinted that I could get it for closer to $5500.
A few questions:
He wouldn't take the top down because it was below forty out side. He said that you can't operate it in this weather. Is that true?
How much would the front two leather seats cost to replace? Can the smoker’s smell be fully taken car of?
If the car mechanic says that the car is fine, should I just buy it? Is there anything in particular to look for?
Sorry for such a long message.
Thank you,
Aaron
