Clearcoats protect the paint from UV rays and pollution. Originally applied over metallics, they are also now used on non-metallics. There were "clears" used decades ago (lacquer or enamel), but, I think you're referring to basecoat/clearcoat systems of today. Ford started using these 2-stage systems in the mid-to-late 70s on their Granada/Monarch/Versailles models and the technology caught on quickly.
I have never heard of a "flat" clear, but, I'm sure that additives can be added to the clear to dull it. You would need to know the ratio of the additives so that it could be duplicated if a "spot" repaint becomes necessary in the future. The color or basecoat is typically dull when complete. Its the clearcoat that gives it the shine.
Changing the color will be noticed if you neglect to change the door jambs. If you handle that, will you do the engine bay? or trunk?.....in other words, is there a feasible place to stop and let the existing color contrast with the new color - probably not.
You already know that sticking with the original color is the way to go. If the car is old, the new paint will look like its getting a new life anyway. If you like the car and wish to keep it, weigh the cost of paint to determine how far you'll go.
