In answer to your questions:
Technically you cannot get a car certified that was purchased from an individual or independent lot. However, the CPO warranty stays with the car so if it has already been certified and you buy it with coverage remaining, you're golden. Dealers are not suppose to certify cars unless they own it as a used car and they certify it themselves to sell as a CPO.
The factory will not deny a warranty claim unless the failure is a result of improper maintenence. If you buy a car that has had no oil changes and the engine fails as a result, it would not be covered. If the radio fails, the oil changes have nothing to do with that so you would be covered. It all depends on the situation.
The CPO warranty is pretty much an extention of the new car warranty so it's a pretty good deal.
