'95 is asking way too much in my opinion...
$2000
clutch could go another 50K miles or more if owner shifts well, and you shift well, but slave could go anytime, then tranny comes out. clutches can go 200K miles in my experience.
head gasket leaking is a serious price dropper, in my opinion, but not a reason to pass on the car if it runs smooth. it's just a gasket, after all...
i'd go look at the '97 auto and ask for receipts. a new auto tranny is a nice thing. just put one in my 93, love it, car has other issues, but having a new tranny is nice. you can buy a new DI for $300 and put it in yourself, save old one as spare. you can put in new radiator for under $200, if it needed it. take the '97 to another mechanic if you can, if you like it...
find out if the '95 has TCS, and if it does, i'd lower the value even more
