6-cyl automatic transmission "general failure"

I have read that the automatic transmission is a weak point in my car. I bought my '95 6-cyl 900 automatic from a friend and what do you know - the transmission threw a "general failure" at 128k mi. The purpose of my writing is to ask - do I really need to replace the transmission ($3300) or should I take it to a transmission shop for rebuilding?
How it happened: When I was driving around town, the car suddenly required a much higher rpm on the engine before the transmission would produce any forward motion. I found that it would engage better when I dropped the shifter down to first gear. Up and down the hills of San Francisco, I limped it back home and checked the fluid, which was full but burnt.
Next day, it worked perfectly as I drove it to the mechanic. The mechanic said that since it was working for them and they couldn't find anything wrong with it, I should replace the whole thing. They didn't change the fluid or anything. It has been fine for the past month since the incident.
So what do you think? Replace it or rebuild it? And if rebuild, does anyone have a specific recommendation for transmission work in the San Francisco bay area?
Thanks!
