I would defenitely replace the shocks. Just becasue they aren't leaking doesn't mean they aren't worn out. The biggest change I have noticed in any of my vehicles is when I replaced the shocks, more so than replcing springs. I would also suggest looking into replacing the strut mounts, only because of the sounds you describe. You won't believe the improvement shocks will make since the original shocks wear out slowly and you just get accustomed to the decressed ride/roadholding ability.
Since you are also considering ECU upgrades, I take it you are planning on keeping the car for a while. If so suspension is more noticable than a little more torque/power.
Did I mention that I think the suspension upgrades would be better. ;^)
