It's based solely on engine RPM in a certain gear. If you really floor it, I think it will go off or not come on quite as early, though. Its only purpose is to improve fuel economy, so it will typically tell you to shift a little earlier than you normally might. If it bugs you as much as it does most people, search the BB for "shift up light" and you'll find a bunch of posts that tell you which wire coming out of the ECU you can cut to disable it.
