With the RF modulator you will lose the fidelity and dynamic range of the CD - basically it will have the quality of an FM radio (that's exactly what it is!) - Even with the base sound system it will make a huge difference in audio quality.
I agree with Jeremy that it would be better to just add in the Clarion in the trunk - there is a very reasonably priced model that will fit (I can't remember the number (635???)- but a quick search of the archives will tell you)
