It's an okay deal. If you go for it make him put in the CPO program (which costs the dealer around 1k).
As for "no more negotiation," I'll bet if you went for the 20k right now he'd tack on a few hundred more in junk fees such as "document prep."
It's true that incentives are pretty strong right now. You could buy an 04 Aero in the low 30s. But you're looking at essentially the same car for a 12-13k discount, and, if it's in the CPO program, with a better warranty on the 02.
For many buyers, here's what it would come down to: if you're paying cash, the 20k is probably the better deal. If you're not flush with cash, you'd probably prefer the 04 at 400/month or less.
