One step forward or two steps back?

My '95 auto 9000CSE was diagnosed with terminal rod knock(?)- or at least weird noises at certain revs - at 182k miles. I've been gentle with it, but now at 186k miles, there are funky whining noises coming from the transmission section too. My friendly used Saab dealer w/mechanic suggests it might be worth $500 towards the purchase of a manual '93 CSE with roughly 118k miles that he has fixed up nicely and is offering at about $3900. I am wondering if it would be worthwhile to re-engine and spruce up my '95 (if it would cost less than a few thousand dollars.) The questions I come up with are:
Am I better off with a newer('95) body with a rebuilt engine - (and maybe the transmission needs work too - I may learn more when I have the oil changed this week) or an older ('93) car with less mileage and a manual transmission that's been recently revamped?
How much should replacing the engine cost?
Not having done this before, are there things that are going to go in the older car that would not be issues in the newer one, or is mileage the predominant factor here and all else being equal, should I simply go with the lower mileage, and jump?
Thanks for your advice and suggestions.
