Sudden dearh on US 101

Last week, on the way to work, my 2000 Aero absolutly, suddenly died in the #1 lane of the 101 freeway . After towing to the nearest dealer the (no suprise here) DI cassette was found culpable & replaced. The cost was $588 for part & labor. The invoice showed a "REFMG" by the part line. The price seems high to me and I am uncomfortable with a critical rebuilt electrical part. The service manager stated that all the DI cassttes are rebuilt.
About 60 mi after driving it home the "check engine light" came on. I returned to the dealer- the catalytic converter was now malfunctioning. My Aero has 62,000 miles & is out of new car coverage, but is covered by Fed & Cal emissions law (up to 80K). Saab did pay for the new CC (~$1600) & it seems to run fine now.
Question & lesson:
Are all replacement DIC rebuilt & is that an isssue? Is $588 a fair price?
Have an escape plan for sudden death of car on the Freeway
Is the sequential failure of the DIC & Cat Conv a frequent event?
The clean air coverage can be very important- check the parts covered
